New Shipper Referral Program Terms and Conditions – Referring Person
PLEASE NOTE THAT THE TRUSTED DISPATCH TERMS OF SERVICE AND PRIVACY POLICY AGREED TO BY YOU APPLY TO YOUR PARTICIPATION IN THE REFERRAL PROGRAM AND YOUR USE OF THE REFERRAL DASHBOARD AND OTHER TOOLS AND WEBSITES PROVIDED BY TRUSTED DISPATCH. THESE PROGRAM TERMS AND CONDITIONS (“TERMS”) SUPPLEMENT THE TRUSTED DISPATCH TERMS OF SERVICE AND PRIVACY POLICY. PLEASE CONSULT THE TRUSTED DISPATCH TERMS OF SERVICE AND PRIVACY POLICY BEFORE AGREEING TO THESE ADDITIONAL TERMS AND CONDITIONS.
Description of the Program
The Trusted Dispatch Referral Program (“Program”) invites eligible persons to earn money (see Payment section below) by referring New Shippers (“Referred New Shippers”) to use the Trusted Dispatch system to publish and complete shipments.
A “New Shipper” is a shipper who has never used the Trusted Dispatch System either themselves, or via a customer service agent.
A “Completed Shipment” is a load that has been published, paid in full and Delivered using the Trusted Dispatch system.
Referred New Shippers will be attributed to a Particular Referring Person by accepting the Referring person’s invite. Referring persons will be credited for Completed Shipments of corresponding Referred New Shippers, in line with these Terms. Payment for such credited Referred Shipments will change from time to time at the sole discretion of Trusted Dispatch depending on active promotions, referral program tuning, or any other reason. The active payment program and conditions will be available at trusteddispatch.com/referral-program.
To participate, referring persons must agree to these Terms.
Use of the Referral Dashboard
You must have an account on the Trusted Dispatch system in order to generate and track referrals for the purposes of the Referral Program.
You agree that you will not use the Shipper Referral Dashboard (“Dashboard”) for any purpose other than tracking your own referrals. You will respect the privacy of others and comply with applicable laws.
Your Referrals
You agree to (i) use best efforts to refer Referred New Shippers to use the Trusted Dispatch online system ; and (ii) educate Referred New Shippers on how to use the Trusted Dispatch system, including how to get quotes, publish shipments, and confirm drivers through the Trusted Dispatch platform, by pointing them to resources at trusteddispatch.com.
You may not represent yourself as an employee, intermediary or agent or as being authorized to bind the Company. You may not create materials (including business cards, websites or email addresses) bearing Company branding or that imply any affiliation or agency relationship between you and Trusted Dispatch. However, you must state that you are a Referring Person who is encouraging New Shippers to use Trusted Dispatch.
Sharing Referral Links
Referrals should only share with prospective New Shippers that will appreciate receiving these invitations. Referral links should not be published or distributed where there is no reasonable basis for believing that all or most of the recipients are prospective New Shippers (such as coupon websites, Reddit, or Wikipedia).
You agree and represent that you will use referral methods and techniques that people will appreciate and that are legal. You should only contact people who have given you their consent to be contacted. You agree and represent that you will always be mindful to respect the privacy of others (i.e. do not spam), be honest, open, and transparent about who you are and what you are offering (i.e. do not mislead). Make sure to tell prospective New Shippers whom you invite to join Trusted Dispatch to check the laws that may apply to them and that you educate them about what it takes to be a responsible shipper.
You agree that you will not set up accounts, enter inaccurate information on behalf of New Shippers, or publish a load on behalf of a New Shipper, and that you will not be eligible for payments if you are in breach of these Referral Program Terms.
If you are based in Canada, you will receive the amount described in our current Referral Program.
If you are based outside Canada, you will receive the equivalent in your local currency (i.e., the currency of the payment method that you have selected for payouts).
Where applicable, the local currency equivalent will be calculated using a system-wide rate, known as the base exchange rate, for currency conversion using data from one or more third parties, such as OANDA. We regularly update the base exchange rate, but it may not be identical to the real-time market rate.
To qualify for payouts, Completed Shipments may require a minimum value, be completed during a specific time period, in a specific area, or meet other conditions in the active Referral Program, All Referred New Shippers must be new, first time Shippers who created an account as a result of clicking a referral invitation link or entering a referral invite code. If a New Shipper was referred by multiple people, then the Referring Person corresponding to the link or code used by the New Shipper shall become the Referrer for that New Shipper. If a New Shipper was referred but did not use a link or code when creating their account then, for the purposes of this program, no referral will be credited. If a New Shipper calls rather than uses the Trusted Dispatch online system, then the New Shipper may reference the Referring Person and the referral may be credited at the discretion of the agent receiving the call.
No payment will be made:
- for shipments created by current or former Trusted Dispatch Shippers
- or for shipments made by family or friends of the Referred New Shipper,
- or for shipments where either the Referred New Shipper or the Referrers shipment has the same address as the Referrer.
Payouts will be made during the following calendar month of each qualifying Completed Shipment, to the payout mechanism you designate on your Trusted Dispatch account. The Trusted Dispatch Terms of Service as it relates to the application of taxes applies to any Program payout.
Whether a payout is due shall be a decision made in the sole discretion of Trusted Dispatch. Trusted Dispatch reserves the right to any remedy, including denial of payout or cancellation of your account, if fraud, tampering or other violations of Trusted Dispatch’s Terms of Service or these Terms are suspected.
The Active Referral Program
Trusted Dispatch may make any changes or cancel the Referral Program altogether at its sole discretion. The Referral Program may include Completed Shipment eligibility conditions, base payments, bonus payment during specific time periods or for volumes or for specific markets, or any other detail.
Trusted Dispatch may publicize portions of the Referral Program. In all cases, the entirety of the active Referral Program will apply to credited shipments or payouts.
If Trusted Dispatch does change the Referral Program, the new Referral Program will apply to shipments that are Published after the change. Any shipments that were Published prior to the change will be paid under the Referral Program that was active at the time of Publish, even if those shipments become qualifying Completed Shipments while another Referral Program is active.
If there are any disagreements between a promotion, a payment or credit seen on our system, or any other source and the active Referral Program for which shipments are eligible, then the active Referral Program and Trusted Dispatch’s interpretation of it shall prevail. Under no circumstance will Trusted Dispatch be bound by calculation errors or other interpretations of the Referral Program or promotional material.
Taxes?
You understand and agree that you are solely responsible for determining (i) your applicable Tax reporting requirements, and (ii) the Taxes that should be included, and for including Taxes to be collected or obligations relating to applicable Taxes. You are also solely responsible for remitting to the relevant authority any Taxes included or received by you. Trusted Dispatch cannot and does not offer Tax-related advice to you. All payments described as part of this program are inclusive of any applicable tax.
Nature of Relationship
You acknowledge and agree that it is a fundamental term and condition precedent of your participation in the Program that you are not an employee, intermediary or agent of the Company, and you will not hold yourself out as, or give any person reason to believe, that you are an employee, intermediary or agent of the Company. You agree nothing in your participation will be construed as establishing an employment or agency relationship between Company and you. Accordingly, you have not at any time been and are not entitled to, and hereby irrevocably waive any right or claim to, the benefits provided by the Company to its employees from time to time, including vacation time, benefits, salary, bonus, stock or stock options, profit sharing, insurance, or medical and health benefits. The Company will not carry any liability or other insurance on behalf of you or in your favor.
Warranties
You represent and warrant that: (a) you have all necessary consents and permits to participate in this Program, (b) you have no pre-existing obligations or commitments (and will not assume or otherwise undertake any obligations or commitments) that would be in conflict or inconsistent with, or that would hinder your performance of your obligations under this Agreement, (c) you will fully comply at all times with all applicable laws and you will not infringe on any third-party (including Trusted Dispatch) rights.
Indemnity
You will defend, indemnify and hold Trusted Dispatch harmless from and against all claims, damages, liabilities, losses, expenses and costs (including reasonable fees and expenses of attorneys and other professionals) arising out of or resulting from your negligence or intentional misconduct with respect to your participation in the Program.
Termination
Trusted Dispatch may terminate your participation in the Program at any time, for any reason or no reason. The rights and obligations of the parties under these Terms will survive the expiration or termination of this Agreement.
Exclusion and Limitation of Liability
In no event will Trusted Dispatch be liable for any special, incidental, punitive, exemplary or consequential damages of any kind in connection with this Agreement, even if the Company has been informed in advance of the possibility of such damages. In no event will the Company’s aggregate liability to you in connection with this Agreement exceed the aggregate amount of the payments made by the Company to you in accordance with this Agreement.
Modification
Trusted Dispatch reserves the right, at its sole discretion, to modify the Program at any time by posting an update on this page. By continuing to access the Dashboard or recruit Referred New Shippers, you agree that the Terms are acceptable to you and binding on you. If the modified Terms are not acceptable to you, your only recourse is to cease using the Dashboard and to terminate your Program participation.[/vc_column_text][/vc_column][/vc_row][vc_row][vc_column][/vc_column][/vc_row]
